Conditions générales de vente de Erich Jaeger France SARL

1.

Champ d’application

  1. Les présentes conditions générales de vente (ci-après « CGV ») s’appliquent à toute commande de produits (ci-après les « Produits » ou le « Produit ») passée par les clients professionnels, exer-çant leur activité dans l’Union Européenne ou dans des pays du Maghreb (ci-après les « Clients » ou le « Client ») ou toute prestation de services (ci-après les « Services ») sollicitées par les Clients.

    ERICH JAEGER et le Client sont appelées les Parties.
     
  2. Conformément à l'article L.441-1 du Code du Commerce, les CGV constituent le socle unique des négociations commerciale entre la société Erich Jaeger France SARL (ci-après « ERICH JAEGER ») et le Client. Les CGV priment sur toutes clauses contraires présentes dans toutes con-ditions d’achat et/ou tout document commercial émanant du Client, sauf accord écrit, exprès et préalable conclu entre ERICH JAEGER et le Client. Les CGV peuvent faire l'objet de modifications ultérieures, la version applicable à l'achat du Client est celle en vigueur et figurant sur l’offre envoyée par ERIC JAEGER à la date de passation de la commande et retournée signée par le CLIENT.

2.

Offres de ERICH JAEGER –commandes

  1. ERICH JAEGER commercialise des systèmes de connecteurs électriques permettant d’assurer une connexion entre un véhicule tracteur et une remorque, utilisés sur des véhicules utilitaires ou de tou-risme, tracteurs et engins agricoles, camions ou véhicules de défense. Lorsque ces Produits sont distribués « en kit », l’installation et le montage des Produits sur les véhicules sont assurés directe-ment par le Client.
     
  2. ERICH JAEGER propose également la mise en place d’un service d’assistance téléphonique, men-tionné dans les notices d’installation des Produits.
     
  3. Les commandes du Client sont fermes et définitives. Dans ce cadre, ERICH JAEGER refuse toute demande de modification ou d’annulation de la commande par le Client, sauf accord exprès et écrit en ce sens.
     
  4. Toute commande de Produits ou Services implique, de la part du Client, l'acceptation sans réserve des CGV. La vente des Produits ou Services est réglementée par les CGV et par l’offre adressée par ERICH JAEGER au Client. Les offres de ERICH JAEGER ne sont réputées fermes que lorsqu’elles sont formulées par écrit et revêtues de la signature du représentant de ERICH JAEGER. A défaut, l’offre n’est pas définitive et donc inopposable à ERICH JAEGER.
    Cette offre doit être retournée signée par le Client. Lorsqu’une offre est proposée par ERICH JAEGER, si certaines dispositions dérogent aux présentes CGV, elles prévalent sur lesdites CGV.
    Les offres de ERICH JAEGER sont valables jusqu’au 31 décembre de l’année en cours.
     
  5. Le Client s’engage à passer commande par EDI ou via l’adresse générique orderserich-jaeger.fr, fax ou téléphone (04.72.52.03.54).
     
  6. Le contrat est dûment conclu dès lors que les commandes ont été acceptées par écrit par ERICH JAEGER et que l’offre de ERICH JAEGER a été retournée signée par le Client.

 

3.

Tarifs et délais de paiement

  1. Les tarifs des Produits et des Services sont établis en euros, hors taxes et départ usine, sauf men-tion contraire dans l’offre précisant l’application d’un autre Incoterm. Les tarifs n’incluent pas l’emballage ni le transport à la charge du Client et qui font l’objet d’une facturation supplémentaire.
     
  2. Les délais de paiement sont fixés à soixante (60) jours nets date de facture ou quarante-cinq (45) jours fin de mois, ou à l’échéance convenue entre ERICH JAEGER et le Client.
    En cas de retard de paiement total ou partiel, les pénalités de retard sont calculées conformément à l’article L.441-10 du code de commerce, depuis la date d’échéance, jusqu’à la date du paiement ef-fectif, à un taux égal à trois (3) fois le taux d’intérêt légal en vigueur. En outre, s’ajoute à ces pénali-tés de retard le montant de l'indemnité forfaitaire pour frais de recouvrement fixé à quarante (40) euros à l’article D.441-5 du code de commerce.
     
  3. La déduction d’un escompte n’est pas de droit, elle requiert un accord écrit et exprès entre ERICH JAEGER et le Client.
    Le Client renonce à compenser ses créances ou invoquer un droit de rétention contre ERICH JAEGER, sauf si ces créances et droits ont été constatés par une décision judiciaire ou constituent des créances réci-proques nullement contestées par ERICH JAEGER.

4.

Modalités et délais de livraison

  1. Sauf accord spécifique entre ERICH JAEGER et le Client, ERICH JAEGER, est uniquement chargé de mettre à disposition les Produits, qui seront récupérés par le Client, sur le site de production de ERICH JAEGER. Toutes les opérations liées au transport, à l’assurance, aux droits de douane, à la livraison sont à la charge du Client.
  2. La reprise des emballages est soumise à un accord spécifique entre les Parties.
     
  3. Sauf accord exprès et écrit contraire, ERICH JAEGER décline toute obligation de marquage allant au-delà des dispositions légales obligatoires applicables à la livraison des Produits. ERICH JAEGER n’est pas tenu de marquer le Produit livré conformément aux autres dispositions légales éventuelle-ment applicables au Client et/ou à son produit final.
     
  4. Le Client est chargé de réceptionner les Produits aux dates et horaires précisés dans l’accusé de réception de la commande. Sauf accord contraire du Client, les livraisons partielles des Produits ou Services sont autorisées et acceptées par le Client.
     
  5. En cas de retard de livraison, la responsabilité de ERICH JAEGER sera limitée au dédommagement du préjudice effectivement subi par le Client et en toute hypothèse ne pourra dépasser 5% du mon-tant total de la commande livrée en retard.

5.

Transfert des risques

  1. En l’absence d’accord spécifique entre les Parties, les risques concernant les Produits sont transfé-rés au Client dès la mise à disposition du ou des Produit(s).
    Dans le cadre d’un accord exprès prévoyant que la livraison des Produits est à la charge de ERICH JAEGER, le risque est transféré au Client dès la remise du Produit ou des Produits au transporteur ou, si l’expédition est retardée pour des raisons extérieures à ERICH JAEGER, dès la date d’expédition du ou des Produits.

6.

Garantie et vérification des Produits à la réception

  1. Les Produits sont garantis pendant une période de douze (12) mois à compter de leur date de réception, sauf accord exprès dérogatoire entre les Parties.
    La qualité à laquelle ERICH JAEGER s’engage correspond aux propriétés et spécifications expres-sément convenues. ERICH JAEGER n’octroie pas de garantie au-delà de cette qualité, il n’octroie donc pas, sauf convention contraire, de garantie d’adéquation du Produit à un certain usage, de du-rée, d’utilisation ou de durabilité.
    Sauf accord contraire, les Parties s’accordent sur le fait que les variations de qualité, de couleur, de dimensions, de quantité, de poids ou d’équipement ne sont pas considérées comme des défauts si elles sont habituelles dans le commerce, minimes ou inévitables d’un point de vue technique ou des normes.
    La garantie ne couvre pas les dommages consécutifs (i) à la détérioration normale, (ii) à la négli-gence ou l’imprudence du Client en utilisant les Produits, (iii) l’utilisation, le stockage, l’entretien et le fonctionnement des Produits qui ne sont pas conformes aux modes d’emploi et aux consignes de ERICH JAEGER, (iv) la modification du Produit sans l’autorisation préalable par écrit de ERICH JAEGER.
    La garantie est exclue sur les Produits, qui au moment de l’intervention de ERICH JAEGER sont considérés comme n’étant pas des Produits commercialisés par ERICH JAEGER.
     
  2. La garantie sera opérationnelle et valable uniquement dans le cas où le Client a réglé les Produits.
     
  3. Le Client doit vérifier les Produits commandés sans délai après leur réception. Si le Client constate des défauts, avaries, Produits manquants ou non conformes, il doit les signaler par écrit (courriel ou fax) sans délai à ERICH JAEGER et au plus tard huit (8) jours ouvrables à compter de la réception des Produits.
    Si un défaut ne se manifeste que postérieurement à la réception des Produits, le Client le signale à ERICH JAEGER sans délai, et au plus tard trois (3) jours ouvrables à compter de sa découverte, par écrit (courriel ou fax). À défaut, Le Produit est réputé accepté par le Client.
     
  4. Si un défaut venait à être constaté, ERICH JAEGER s’engage à réparer le Produit ou livrer un nouveau Produit, à sa convenance. ERICH JAEGER s’engage à supporter les frais de transport, d’infrastructure, de travail et de matériaux, à condition que lesdites dépenses ne soient pas augmen-tées du fait du déplacement des Produits du lieu de livraison initial vers un autre lieu. Les coûts liés au montage et démontage des Produits ne sont pas pris en charge par ERICH JAEGER.
     
  5. ERICH JAEGER garantit également ses Produits contre les vices cachés au sens de l’article 1641 du code civil, c’est-à-dire, les défauts cachés de la chose vendue qui la rendent impropre à l’usage auquel on la destine. Toutefois, si le Client est un professionnel de la même spécialité que ERICH JAEGER, au sens de la jurisprudence, il accepte expressément de ne pas se voir appliquer cette garantie des vices cachés.
     
  6. En application de l’article 1245-14 alinéa 2 du code civil relatif à la responsabilité du fait des produits défectueux, ERICH JAEGER n’est pas responsable des dommages causés aux biens qui ne sont pas utilisés par le Client principalement pour son usage ou sa consommation privée.

7.

Cessation du contrat

  1. En cas de violation substantielle par le Client de l’une ou plusieurs de ses obligations essentielles, ERICH JAEGER pourra résilier le Contrat en cours.
    La résiliation interviendra de plein droit un (1) mois après l’envoi d’une mise en demeure au Client défaillant, par lettre recommandée avec accusé de réception, restant sans réponse ou sans effet.

8.

Responsabilité

  1. En cas de violation par le Client de l’une ou plusieurs de ses obligations, ERICH JAEGER est en droit d’exiger réparation pour le dommage subi, ainsi que pour les éventuelles dépenses supplémen-taires engendrées du fait du ou des manquement(s) (par exemple, si le Client retarde la réception des Produits ou contrevient sciemment à ses obligations de coopération). ERICH JAEGER est seul responsable de l’exécution du contrat ainsi que de son personnel et des éventuels sous-traitants. ERICH JAEGER déploiera par conséquent tous ses soins et la diligence nécessaires à l’accomplissement de sa mission, et en tant que professionnel averti, assumera la responsabilité des prestations qu’il exécutera ou que son personnel et/ou ses sous-traitants exécuteront.
     
  2. ERICH JAEGER est responsable de l’exécution des obligations mises à sa charge en application du contrat, et s'engage en conséquence à réparer le préjudice résultant directement de toute inexécu-tion grave de ses obligations au titre du Contrat. En toute hypothèse, la responsabilité de ERICH JAEGER sera limitée à tout dommage aux biens ou aux personnes directement imputables à ERICH JAEGER et dans la limite du montant de la commande litigieuse concernée.
    Il est convenu que, en toute hypothèse, la responsabilité de ERICH JAEGER ne pourra être enga-gée pour les dommages indirects y compris, interruption de l’activité, pertes de profits, perte de re-venus, etc. qui resteront à la charge du Clients.
     
  3. L’exclusion ou la limitation de responsabilité ci-dessus ne s’appliquent pas en cas d'atteinte fautive à la vie, à l'intégrité physique ou à la santé, en cas de dissimulation intentionnelle d'un défaut, en cas de non-respect d’une garantie de qualité, ni si la responsabilité est engagée au titre de la responsa-bilité du fait des produits défectueux.

9.

Information sur les pénalités contractuelles

  1. Le Client informe ERICH JAEGER, au plus tard à la conclusion du Contrat, des éventuelles pénalités contractuelles qui le lient à ses partenaires contractuels.

10.

Droits de propriété intellectuelle

  1. Il est convenu entre les Parties que le ou les Contrat(s) conclu(s) avec le Client ne saurai(en)t entraîner une quelconque cession des droits de propriété intellectuelle détenus par ERICH JAEGER.
     
  2. Les Produits, Services, les éléments composant les Produits et/ou Services et tous éléments de présentation et/ou de promotion, sont protégés par le droit de la propriété intellectuelle, à savoir no-tamment le droit d’auteur et/ou le droit des marques et/ou le droit des dessins et modèles et/ou le droit des brevets d’invention dont ERICH JAEGER serait titulaire.
    Les Produits, Services, les éléments composant les Produits et/ou Services et tous éléments de présentation et/ou de promotion sont donc la propriété exclusive d’ERICH JAEGER. Si ERICH JAEGER n’est pas propriétaire des Produits, Services, éléments composant les Produits et/ou Ser-vices et tous éléments de présentation et/ou de promotion, une autorisation lui a été expressément concédée.
     
  3. Le Client s'engage :
    - à ne pas déposer et/ou utiliser, directement ou indirectement des marques, noms com-merciaux, dénomination sociale, brevets, savoir-faire et autres signes distinctifs appar-tenant à ERICH JAEGER, ou qui leur seraient similaires, sauf accord préalable, écrit et exprès de ce dernier ;
    - à ne pas incorporer même partiellement à son nom ou à l'un de ses signes distinctifs les marques, noms commerciaux, dénomination sociale et signes distinctifs appartenant à ERICH JAEGER, sauf accord préalable, écrit et exprès de ce dernier ;
    - à ne pas altérer l’ensemble des droits de propriété intellectuelle ou signes distinctifs de ERICH JAEGER et à ne pas en faire un usage impropre qui le discréditerait ;
    - à n’engendrer aucun risque de confusion, dans l’esprit des tiers, de quelque manière que ce soit, entre les Produits et Services de ERICH JAEGER et les produits et ou ser-vices de ses concurrents.
     
  4. Si le Client est informé de tout évènement susceptible de porter atteinte aux droits de propriété intellectuelle ou signes distinctifs de ERICH JAEGER, il s'engage à l’en informer, dans un délai de vingt-quatre (24) heures par email.
     
  5. Si le lieu effectif d’utilisation du Produit n’est pas connu par ERICH JAEGER, il incombe particuliè-rement au Client de vérifier lui-même si les Produits ne portent pas atteinte à des droits de propriété intellectuelle ou d’autres droits de tiers, dans les lieux d’utilisation du Produit.
     
  6. Si un tiers engage la responsabilité du Client sur le fondement de la violation d’un ou plusieurs de ses droits de propriété intellectuelle, qu’elle est considérée comme bien fondée par ERICH JAEGER et qu’elle résulte des Produits livrés par ERICH JAEGER utilisés dans les conditions prévues au Contrat, alors, ERICH JAEGER s’engage à modifier ou échanger les Produits concernés afin qu'ils n'enfreignent pas le ou les droit(s) de propriété intellectuelle du tiers, au choix de ERICH JAEGER et à ses frais. Si cette option n’est pas envisageable par ERICH JAEGER, le Client est légalement en droit de résilier le Contrat dans les conditions prévues à l’article 10 ou de réduire le prix des Produits.
     
  7. Si le Client cesse l'exploitation des Produits livrés afin de réduire les dommages ou pour toute autre raison importante, il est tenu d'informer les tiers que l'arrêt de l’exploitation ne constitue nullement la reconnaissance d'une violation de ses droits de propriété intellectuelle.
     
  8. ERICH JAEGER n’engage pas sa responsabilité contractuelle sur ce fondement dès lors que :
    a) Le Client ne respecte pas l’obligation d’informer sans délai et par écrit ERICH JAEGER de la situation précitée ; des réclamations de tiers.
    b) La violation des droits de propriété intellectuelle du tiers est exclusivement imputable au Client ;
    c) La violation des droits de propriété intellectuelle du tiers est imputable au non respect par le Client d’instructions spéciales négociées avec le tiers, ou à une utilisation non prévue au Contrat, à une modification de la livraison par le Client ou à un utilisation du Produit avec des produits non ho-mologués par ERICH JAEGER.

11.

Données personnelles

Les données personnelles qu’ERICH JAEGER reçoit de la part du Client correspondent aux informations requises pour la gestion de la relation commerciale.

Ces données personnelles font l’objet d’un traitement informatique permettant à ERICH JAEGER d’identifier le Client, de communiquer avec lui, si nécessaire de répondre à ses sollicitations, d’assurer une bonne gestion de la relation.

Les données personnelles sont destinées exclusivement à ERICH JAEGER pour gérer la relation commerciale.

A cet égard, ERICH JAEGER s’assure que ces prestataires mettent en œuvre toute mesure appropriée pour garantir la sécurité des données personnelles du Client et respecter la règlementation en la matière.

Les données personnelles seront conservées pendant toute la durée strictement nécessaire à la gestion de la relation et, en tout état de cause, pendant une durée n’excédant pas trois ans à compter du dernier contact resté sans réponse et/ou de la fin du Contrat, à défaut de demande de suppression ou d’opposition de la part de l’Utilisateur dans l’intervalle.

ERICH JAEGER met en œuvre toute mesure de protection appropriée pour assurer la sécurité et la confi-dentialité des données personnelles recueillies.

Conformément à la règlementation applicable en matière de protection des données personnelles, le Client peut exercer un droit d’accès, rectification, opposition, portabilité, limitation du traitement et de suppression des données personnelles qui le concernent.

Pour exercer ce droit, le Client peut s’adresser à l’une ou l’autre des adresses suivantes :
-    Par courrier électronique : ...
-    Par courrier par voie postale : ...

Il lui sera répondu dans un délai d’un mois.

Le Client dispose également, le cas échéant, d’un recours auprès de la Commission Nationale de l’Informatique et des Libertés (CNIL). Toutefois, il peut contacter au préalable ERICH JAEGER qui répondra dans un délai de deux mois.

12. Voluntary Return of the Contract Products

  1. When outside the scope of warranty, returns of the Contract Products will only be accepted with the consent of ERICH JAEGER. In any case, the prerequisite to a return is that the Contract Products are still in their original packaging, unused and that the Contract Products and packaging are undamaged.
  2. If ERICH JAEGER gives its consent, the customer will receive a returns number. This must be clearly visible on the packaging of the return consignment. The goods must be returned to ERICH JAEGER's registered office at the customer's expense.
  3. A processing fee will be charged for each return, the amount of which shall be agreed on a case-by-case basis and which, in the event of any doubt, shall be EUR 25.00. If the Contract Products or packaging are damaged contrary to Section 12.1, ERICH JAEGER is entitled to refuse to accept their return or may invoice the customer for the costs of reconditioning them. Unless otherwise agreed, such costs shall amount to 15% of the agreed net price, but at least EUR 25.00.
  4. If a return is made without the express consent of ERICH JAEGER, ERICH JAEGER is entitled to refuse to accept the return or may store the Contract Products at the expense and risk of the customer. The cost of storage is at least EUR 25.00 per week.

13. Retention of Title

  1. The delivered Contract Products remain the property of ERICH JAEGER until they have been paid for in full.
  2. In addition, ERICH JAEGER remains the owner of the delivered Contract Products until full payment of all claims arising from the business relationship between the customer and ERICH JAEGER.
  3. The customer is obliged to treat the Contract Products subject to retention of title (hereinafter also referred to as “Retention of Title Goods") with care for the duration of the retention of title. In particular, it shall be obliged to adequately insure the Retention of Title Goods at replacement value at its own expense for damage by fire, water and theft. The customer hereby assigns to   ERICH JAEGER all indemnification claims arising under that insurance. ERICH JAEGER hereby accepts the assignment. If an assignment is not permissible, the customer hereby instructs its insurer to make any payments solely to ERICH JAEGER. The foregoing is without prejudice to further claims on the part of ERICH JAEGER. The customer must provide ERICH JAEGER with proof of insurance cover upon request.
  4. If the Retention of Title Goods are combined with other items that do not belong to ERICH JAEGER to form a single item, ERICH JAEGER shall acquire co-ownership of the single item in the ratio of the value of the Retention of Title Goods (final invoice amount including VAT) to the other items at the time of combination. If the Retention of Title Goods are combined with other items in such a way that the customer's item is to be regarded as the main item, the customer hereby assigns to ERICH JAEGER co-ownership of that item on a pro rata basis. ERICH JAEGER accepts this assignment. The provisions of this Section 13.4 shall apply mutatis mutandis if the Retention of Title Goods are processed with other items.
  5. The customer is revocably authorised to sell the Retention of Title Goods in the ordinary course of business. The customer is not authorised to pledge the Retention of Title Goods, to assign them as security or to make other dispositions jeopardising the ownership rights of ERICH JAEGER. In the event of attachments or other interventions by third parties, the customer must inform ERICH JAEGER without delay in writing and provide      all necessary information, inform the third party of ERICH JAEGER's ownership rights and co-operate in the measures taken by ERICH JAEGER to protect the Retention of Title Goods.
  6. The customer hereby assigns to ERICH JAEGER the claims from the resale of the Retention of Title Goods in the amount of the invoice, including VAT, together   with all ancillary rights. ERICH JAEGER hereby accepts the assignment. If the Retention of Title Goods are sold together with other goods not supplied by ERICH JAEGER, the claim arising from the resale shall be assigned pro rata at the ratio of the value of the Retention of Title Goods (final invoice amount including VAT) to the other goods sold. If an assignment is not permissible, the customer hereby irrevocably instructs the third-party debtor to make any payments solely to ERICH JAEGER.
  7. The customer is revocably authorised to collect the claims assigned to ERICH JAEGER in its own name, in trust for ERICH JAEGER. The amounts collected must be paid to ERICH JAEGER immediately.
  8. ERICH JAEGER may revoke the customer's right to resell and its authorisation to collect if the customer does not properly meet its payment obligations to ERICH JAEGER, is in default of payment, suspends payments or if an application for insolvency proceedings over the customer's assets is filed.
  9. ERICH JAEGER is obliged at the request of the customer to release existing securities to the extent that the realisable value of the securities exceeds the claims of ERICH JAEGER from its business relationship with the customer by more than 10%, taking into account customary bank valuation discounts. Selection of the securities to be released shall be at ERICH JAEGER’s discretion.
  10. In the case of deliveries of goods to other legal systems in which the retention of title provision pursuant to this Section 13 does not have the same security effect as in the Federal Republic of Germany, the customer hereby grants ERICH JAEGER a corresponding security interest. If further measures are required for this purpose,    the customer shall do everything necessary to grant    ERICH JAEGER such a security interest without delay. The customer shall cooperate in all measures which are necessary and conducive to ensuring the effectiveness and enforceability of such security interests.

14. Customer Tools

  1. If ERICH JAEGER is provided with tools by the customer for the manufacture of Contract Products, these shall remain the property of the customer. ERICH JAEGER shall label the tools accordingly.
  2. The customer shall take out all-risk insurance at replacement value in favour of ERICH JAEGER for its tools and furnish evidence thereof upon request.

15. Tools of ERICH JAEGER

  1. Tools purchased by ERICH JAEGER for the manufacture of the Contract Products shall be invoiced to the customer separately from the Contract Products.
  2. ERICH JAEGER's claim for the full purchase price is due for payment upon presentation of first-off parts, no later than at the start of serial delivery of the Contract Products.
  3. The tools shall remain the property of ERICH JAEGER until full payment has been received.
  4. The customer shall bear the costs of repairing wear and tear or of correcting defects as well as the costs of maintenance and insurance.
  5. After completion of the serial delivery of the Contract Products, but no later than when the obligation to deliver spare parts comes to an end, ERICH JAEGER shall be entitled to request the customer to collect the tool, setting a reasonable deadline. Upon expiry of the deadline, ERICH JAEGER is authorised to scrap the tool at the customer's expense.

16. Items to be Provided by the Customer

  1. “Items to be Provided" are primary products which the customer makes available to ERICH JAEGER for the manufacture of the Contract Products.
  2. Items to be Provided must be handed over to ERICH JAEGER in good time and in sufficient quantities so that ERICH JAEGER is able to deliver the agreed quantities of Contract Products and meet the agreed delivery times.
  3. The customer shall bear sole responsibility for ensuring that the Items to be Provided are free from defects in design and/or material quality. The Items to be Provided must not have any characteristics that are or could be apt to cause defects in the Contract Products or to increase the cost of or delay the manufacture of the toll manufacturing products.
  4. The transport and supply of Items to be Provided shall be free of charge for ERICH JAEGER. The customer bears the risk of accidental loss or accidental deterioration of the Items to be Provided until they are delivered to ERICH JAEGER.
  5. ERICH JAEGER is obliged to carry out an incoming goods inspection with regard to the identity and quantity of the Items to be Provided, but not with regard to the quality of the Items to be Provided.  
  6. The customer shall take out all-risk insurance at replacement value in favour of ERICH JAEGER for the Items to be Provided and furnish evidence thereof upon request.
  7. If the Items to be Provided prove to be unusable during the manufacture of the Contract Products, ERICH JAEGER may demand a portion of the remuneration corresponding to the production already carried out.
  8. At the request of the customer, ERICH JAEGER will support the customer free of charge in recording the stocks of Items to be Provided.

17. Customer Duties of Cooperation with regard to Directed Parts and Preferred Suppliers

  1. The term "Directed Parts" refers to the components specified by the customer from another supplier ("Preferred Supplier"), which are integrated as individual components into a Contract Product to be manufactured by ERICH JAEGER.
  2. The customer shall ensure by suitable agreements and measures vis-à-vis the Preferred Supplier that
    a)    the Preferred Supplier concludes supply contracts with ERICH JAEGER, the content of which is based on the standard OEM purchasing terms (such as ERICH JAEGER's purchasing terms),
    b)    the Preferred Supplier can only exercise a right of set-off or retention against ERICH JAEGER if the counterclaim of the Preferred Supplier is undisputed or has been adjudicated with res judicata effect, and
    c)     that the Directed Parts are designed and manufactured by the Preferred Supplier in such a way that (i.) the Directed Parts fulfil all legal and regulatory requirements, (ii.) the Directed Parts are marketable and (iii.) after installation of the Directed Parts in the Contract Products, the Contract Products are free from defects, product faults and third-party rights.
  3. The customer shall take all measures vis-à-vis the Preferred Supplier that are necessary to enable ERICH JAEGER to meet delivery deadlines. These measures include, in particular, timely (i.) planning of production capacities, (ii.) sampling and production release of Directed Parts and (iii.) control of the deadlines for the delivery of the Directed Parts to ERICH JAEGER.
  4. Any costs for tools incurred by the Preferred Supplier shall be borne either by the customer or by the Preferred Supplier, but not by ERICH JAEGER.
  5. In relation to ERICH JAEGER, the customer alone is responsible for exercising oversight over the Preferred Supplier.
  6. In the event that the Preferred Supplier delivers parts to ERICH JAEGER with defects or product faults or is in default of delivery, the customer shall indemnify ERICH JAEGER and hold it harmless against all associated costs and damages (e.g. sorting costs or costs for extra rides) and third-party claims (e.g. claims by the OEM). Excluded herefrom are costs and losses for which ERICH JAEGER itself is responsible (e.g. due to faulty installation of the Directed Parts in the Contract Products).
  7. ERICH JAEGER is solely required to inspect Directed Parts upon delivery with regard to externally detectable transport damage, quantity and identity.

18. Rescission / Cancellation of contract

  1. In the event of breach of contract by the customer, in particular in the event of payment default, ERICH JAEGER is entitled, without prejudice to its other contractual and statutory rights, to rescind the contract after the expiry of a reasonable grace period.
  2. The customer must grant ERICH JAEGER or its authorised representative access to the goods subject to retention of title without delay following a declaration of rescission and must surrender them to ERICH JAEGER. After giving timely notice, ERICH JAEGER may otherwise dispose of the goods subject to retention of title to satisfy the outstanding claims for receivables against the customer. The proceeds from the sale shall be set off against the customer’s liabilities minus reasonable costs of resale.
  3. Statutory rights and claims shall not be deemed restricted by the provisions of the present Section 18.

19. Confidentiality

  1. The customer shall be obliged, for an indefinite period, to keep confidential all information to which it gains access via ERICH JAEGER and which is designated as confidential or which, in light of other circumstances, discernibly constitutes business or trade secrets, and shall neither record nor transmit or exploit it. The customer shall protect ERICH JAEGER's data and documents against loss and access by third parties, in accordance with the state of the art.  
  2. Through suitable contractual agreements with the employees and authorised persons working for the customer, the customer shall ensure that such persons also refrain, for an indefinite period, from exploiting, transmitting or recording without authorisation such business or trade secrets.

20. Force Majeure

  1. “Force majeure" means the occurrence of an event or circumstance (hereinafter “Force Majeure Event”) that prevents ERICH JAEGER from fulfilling one or more obligations under the contract despite reasonable efforts.
  2. Force majeure includes all circumstances for which     ERICH JAEGER is not responsible, in particular fire, natural disasters, weather, floods, war (whether declared or undeclared), epidemics and pandemics.
  3. The following shall be deemed the equivalent of force majeure:
    a)      Industrial action such as strikes and/or lockouts;
    b)      political unrest;
    c)      unforeseen circumstances, e.g. operational disruptions;
    d)      import and export restrictions, other official/sovereign measures or prohibitions (e.g. sanctions, embargoes or other export control regulations), including those affecting our suppliers;
    e)      delays in the granting of any necessary official permits;
    f)       transport bottlenecks for which we are not responsible;
    g)      unforeseen increase in procurement risk;
    h)      shortage of energy and raw materials;
    i)       late deliveries of raw materials or vendor parts for which EJ is not responsible.
  4. In the event of force majeure, ERICH JAEGER shall be released from its obligation to perform the contract for the duration of the event and a reasonable start-up period thereafter. Delivery periods shall be automatically extended by the duration of the event plus a reasonable start-up period thereafter. The parties shall provide each other with the necessary information without delay and adjust their contractual obligations in good faith in light of the changed circumstances.  
  5. ERICH JAEGER shall notify the customer as soon as   the Force Majeure Event no longer prevents ERICH JAEGER from fulfilling its contractual obligations.
  6. If the Force Majeure Event lasts longer than 45 days, both parties are entitled to rescind the affected contract.
  7. ERICH JAEGER accepts no liability in connection with Force Majeure Events. 

21. Governing Law, Jurisdiction

  1. The legal relationship between the customer and ERICH JAEGER is governed by the law of the Federal Republic of Germany; application of the UN Convention on Contracts for the International Sale of Goods (CISG) is excluded.
  2. Exclusive jurisdiction for all claims arising from the parties’ business relationship is vested in the courts at the registered office of ERICH JAEGER. ERICH JAEGER is also entitled to bring an action in the courts at the registered office of the customer as well as at any other permissible jurisdictional venue.
  3. In international business transactions, the parties may choose between recourse to the ordinary courts or to arbitration for all legal disputes arising from or in connection with this contract and its performance.
  4. If the Parties seek redress in the ordinary courts, section 21.2 shall apply mutatis mutandis.
  5. If the parties refer a dispute to arbitration, all disputes arising from or in connection with the present contract shall be finally settled pursuant to the Arbitration Rules of the German Institution of Arbitration (DIS). The arbitral panel shall consist of three arbitrators. Unless the parties have agreed otherwise, at least one of the arbitrators must be a German lawyer. The arbitrators must be fluent in the language of the arbitration. The language of arbitration shall be German, unless the parties have agreed on another language of arbitration. The seat of the arbitral tribunal is Stuttgart, Germany.

22. Final Provisions

  1. The assignment of rights and obligations of the customer to third parties is only permitted with the written consent of ERICH JAEGER.
  2. ERICH JAEGER may involve third parties or vicarious agents in any and all aspects of performance of the contract.
  3. The place of performance for all obligations arising from the contractual relationship is the registered office of ERICH JAEGER.
  4. Should individual provisions of these Terms of Sale be or become invalid, this shall not affect the validity of the remaining Terms of Sale. The invalid provision shall be replaced by such valid provision as comes the closest to the economic content of the invalid provision. The same applies in the event of an unintended gap.
